rights contracts with non-profits

hello-

i am working with a non-profit on our licensing agreement and could really use some input from someone who has done documentary work for non-profit organizations. they want to have freedom to sell and license my work and am trying to balance serving their interests and protecting mine. someone with experience in negotiating such contracts would really help me out.

Is that why some “non-profits” always claim to have limited budgets ? So they can turn around and profit from the work they got for dirt cheap or free ?
